Bertelsmann Admits
Plans To Acquire UK’s
Leading Broadcaster

/12/4/07–Bertelsmann AG, parent company of Random House in the USA, said in a prepared statement today that it is entertaining a deal to acquire outstanding shares of RTL Group, Europe’s leading commercial broadcaster. Bertlesmann said that any such offer would not exceed €82 per RTL Group share.

“No decision has been made to proceed with an offer. The making of any offer would be subject to a number of conditions precedent, and in particular, to the prior approval of the Bertelsmann management and supervisory boards. There can be no assurance that any offer will be made by Bertelsmann,” the statement said. “A further announcement will be made as and when appropriate.”

RTL Group has interests in 31 television channels and 33 radio stations in ten countries and content production throughout the world. Its television portfolio includes RTL Television in Germany, M6 in France, five in the UK, and the RTL channels in the Netherlands, Belgium, Luxembourg, Croatia and Hungary, as well as Antena 3 in Spain and TVI in Portugal. RTL Group’s flagship radio station is RTL in France, and it also owns or has interests in other stations in France, Germany, Belgium, the Netherlands, Spain, Portugal and Luxembourg. RTL Group’s content production arm, FremantleMedia is one of the largest international producers outside the US. It is currently producing more than 260 programmes in over 40 countries including the USA, providing a wide range of drama, entertainment and factual programming for viewers around the world.
